Acceptance
A copy of these Terms and Conditions must be signed by a Client at the time of placing an order. This will be taken as indication of agreement to and acceptance of these Terms and Conditions. Alternatively, payment of an advance fee will be taken to indicate such acceptance
Any conditions stipulated on a Clients order form will be regarded as void and these Terms and Conditions will take precedence unless previously agreed in writing.
Acceptance by IWD may be conditional on provision by the Client of suitable references and/or credit agency reports.
PaymentPayment for services provided will be in accordance with an agreed schedule as stated in the quotation.
For quotations less than £1000 the work will be invoiced on completion. For quotations exceeding £1000, an initial payment of 25% of the quoted price will be required before work commences. The balance will be invoiced on completion.
All invoices are due for payment 7 days after the invoice date.
Acceptable UseIWD cannot be held liable for any unlawful use of web sites designed for clients once the project has been handed over to the Client as complete. This includes, without limitation, material protected by copyright, trademark, trade secret or other intellectual property rights used without proper authorization; material that is obscene or defamatory; and the sending of unsolicited email.
CopyrightCopyright of all original material, including source code where applicable, will remain with IWD until payment is received when copyright will pass to the client unless otherwise stated in the quotation.
The provision of material, such as logos, images or content, constitutes a guarantee by the Client that all necessary permissions have been obtained in respect of the work and the Client will indemnify IWD against any actions, demands or claims arising from its use.
Design CreditIWD will be credited with the design of the web site on all pages, either in small type or as a graphic, at the bottom of the page.
Access RequirementsWhere the Client's web site is to be hosted on a third party server, IWD must be provided with access information to the host server using ftp. Access may be required to additional resources on the server, which may need to be configured, dependent on the requirements of the web site design.
Time TableA time table for the project will be proposed and agreed following quotation. Normally a project will be completed within 60 days of commencement providing no delays are experienced in the provision of content or as a result of changes in the original brief.
DeliveryDelivery of the agreed project will be completed on receipt of the final payment. Such delivery may be means of electronic transfer or physical media. The Client will assume all responsibility for the use and functionality of the project on delivery.
ContentAll content, which includes text, images, photographs and links, will be provided by the Client. The Client will be expected to nominate a single individual as a contact point to ensure the project is progressed in a satisfactory manner. Wherever possible, information will be provided in an electronic format suitable for inclusion in web page files.
Should the delivery of content by the Client be delayed beyond 4 weeks following a request for information then IWD reserves the right to advise the Client of a revision to the final payment. Any further delays to the provision of information may result in the termination of the project by IWD with an immediate demand for payment of outstanding sums.
IWD reserves the right to amend the information provided, in consultation with the Client, where this would better serve the proposed page design.
IWD reserves the right to refuse to any material which may be deemed offensive, illegal or in any way controversial. The opinion of IWD will be final in this regard.
Customer ReviewDuring the project, files will be uploaded to a temporary web space to enable the client to review the appearance and content of the web pages. On completion of the site it will be deemed acceptable unless notification is received within 7 days of the material being made available.
AmendmentsFollowing completion and acceptance, IWD will undertake minor amendments to a web site during a period of 1 month following the date of completion. Such amendment will comprise updating lines and minor changes to a sentence or paragraph. It does not include (without limitation) updating or replacing major sections of text or new pages, changes in the site navigation or repairs due to third party amendments.
IWD can accept no responsibility for third party alterations to the pages once installed. Such alterations include, but are not limited to, additions, modifications or deletions.
Web Site MaintenanceOnce a project is complete, and following minor amendments as detailed above, any further changes or additions to the site will be the subject of a separate maintenance agreement or will be charged at current hourly rates.
Search Engine SubmissionIWD will not be responsible for any on-going promotion of the web site after initial uploading. A separate agreement may be agreed for promoting a site, if required, but, in those circumstances, IWD can offer no guarantees with regard to the success of such promotion as this is determined by the search engines.
Governing LawAny contract arising from a quotation will be subject to the Law of UK and Scotland.
TerminationTermination of the contract may be requested at any time by written notice and will be effective on receipt of such notice. The Client will be liable for any work completed at the date of termination and will be invoiced accordingly.
DefaultAccounts remaining unpaid thirty days after invoice will be considered in default. Any material maintained on IWD temporary web space will then be removed and IWD will not be responsible for any loss of data incurred by such removal. The Client will still be liable for payment of any outstanding charges to their account.
Domain NamesIWD may register domain names on behalf of a Client. Payment for and renewal of these will be the responsibility of the Client.
HostingIWD does not, at this time, provide hosting services. IWD may make recommendations with regard to a suitable hosting package but the Client will be responsible for all costs associated with setting up and maintaining this service. IWD provide no guarantees with respect to availability or interruption of service, nor for any loss of data due to any non-availability, interruption or malfunction of these services provided by others.
GeneralWaiver of any of these terms will be on an individual basis and will not affect the validity of the remaining terms nor constitute a precedent for waiver on future occasions.
Agreement to these terms and conditions will not affect your statutory rights.
IWD reserves the right to change, modify or delete any of the terms and conditions contained within this document.
